GOOD JOB – PROVIDER AGREEMENT

This Provider Agreement (“Agreement”) governs the participation of service providers (“Provider”) on the Good Job platform (“Platform”). By registering or offering services, you agree to be legally bound by this Agreement, the Terms of Service, and the Privacy Policy.


1. INDEPENDENT CONTRACTOR STATUS

The Provider acknowledges and agrees that:

  • They act as an independent contractor
  • They are not an employee, agent, representative, or partner of Good Job
  • They have no authority to bind Good Job in any manner

Nothing in this Agreement shall be interpreted as creating an employer-employee relationship, joint venture, or partnership.


2. SERVICE RESPONSIBILITY AND LIABILITY

The Provider is solely responsible for:

  • The quality, accuracy, and completion of services
  • Ensuring safe execution of work
  • Compliance with all applicable laws, ordinances, and regulations
  • Use of proper tools, equipment, and materials

The Provider assumes full liability for any damage, loss, injury, or claim arising from the services rendered.


3. MANDATORY VERIFICATION AND COMPLIANCE

To maintain platform integrity and safety, Providers must:

  • Submit a valid government-issued ID
  • Provide accurate personal and background information
  • Complete any required Know-Your-Customer (KYC) verification

Good Job reserves the right to:

  • Conduct additional verification checks
  • Suspend or deny access for incomplete or suspicious submissions

Failure to comply shall result in disqualification or account termination.


4. PERFORMANCE STANDARDS AND PLATFORM METRICS

Providers are required to maintain acceptable performance standards, including:

  • Completing jobs as agreed and on time
  • Maintaining high ratings and positive reviews
  • Minimizing cancellations and no-shows
  • Responding promptly to client inquiries

Algorithmic Ranking and Visibility Control

  • Provider visibility is determined by Good Job’s internal ranking system, which considers:
    • Ratings and reviews
    • Completion rate
    • Cancellation rate
    • Responsiveness
    • Compliance with platform rules
  • Good Job reserves the right to:
    • Adjust rankings at any time
    • Reduce visibility or apply shadow restrictions
    • Prioritize or deprioritize Providers without prior notice

5. PAYMENT TERMS AND PLATFORM FEES

  • Payments are processed exclusively through the Platform’s escrow system
  • Funds are released only upon:
    • Service completion
    • Client confirmation, or
    • Platform resolution in case of dispute
  • Platform fees and commissions shall be:
    • Automatically deducted prior to payout
    • Clearly disclosed before job acceptance

Escrow Protection Conditions

Providers acknowledge that payments may be:

  • Delayed or withheld during disputes
  • Adjusted proportionally for partial completion
  • Forfeited in cases of fraud, misconduct, or violation

All payment decisions made by Good Job are final and binding.


6. STRICT PROHIBITION ON OFF-PLATFORM TRANSACTIONS

Providers are strictly prohibited from:

  • Accepting direct payments outside the Platform
  • Sharing personal contact details for the purpose of bypassing fees
  • Encouraging Clients to transact outside Good Job

Anti-Bypass Enforcement and Penalties

In case of violation:

  • A penalty fee of 15%–30% of the estimated transaction value, or a fixed amount, may be imposed
  • Earnings may be withheld or forfeited
  • Account may be permanently banned
  • Legal action may be pursued for damages

Good Job may use automated monitoring systems to detect violations.


7. PROHIBITED CONDUCT

Providers shall not:

  • Engage in fraudulent or deceptive practices
  • Perform fake bookings or manipulate reviews
  • Harass, threaten, or harm Clients
  • Commit theft, damage property, or engage in illegal activity
  • Misrepresent skills, pricing, or service scope

8. PENALTIES AND ENFORCEMENT

Violations of this Agreement may result in:

  • Temporary suspension
  • Permanent account termination
  • Loss or withholding of earnings
  • Reduction in platform visibility
  • Reporting to authorities, where applicable

Good Job reserves full discretion in determining penalties.


9. INSURANCE AND ASSUMPTION OF RISK

Providers acknowledge that:

  • They are solely responsible for obtaining any insurance coverage (e.g., liability, personal accident)
  • Good Job does not provide insurance protection

Providers assume all risks associated with:

  • Performing services
  • Interacting with Clients
  • Use of tools and equipment

10. DISPUTE COOPERATION AND INVESTIGATION

In the event of a dispute, Providers must:

  • Fully cooperate with Good Job’s investigation
  • Submit requested evidence (photos, videos, chat logs, receipts)
  • Respond within the specified timeframe

Failure to cooperate may result in:

  • Automatic unfavorable decision
  • Withholding of funds
  • Account penalties

11. DATA PRIVACY AND CONFIDENTIALITY

Providers agree to:

  • Handle Client information with strict confidentiality
  • Use personal data only for the purpose of completing the service
  • Comply with applicable data privacy laws, including the Data Privacy Act

Unauthorized use or disclosure of personal data is strictly prohibited.


12. INDEMNIFICATION

The Provider agrees to indemnify and hold Good Job harmless from:

  • Any claims, damages, or liabilities
  • Legal costs and expenses
  • Losses arising from services rendered

Including but not limited to:

  • Injury to persons
  • Damage to property
  • Breach of laws or regulations

13. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Good Job shall not be liable for:

  • Any acts, omissions, or negligence of the Provider
  • Losses, damages, or claims arising from services
  • Disputes between Providers and Clients

The Provider assumes full responsibility for all service-related outcomes.


14. TERMINATION

Good Job reserves the right to:

  • Suspend or terminate Provider accounts at its discretion
  • Take immediate action without prior notice in high-risk situations

Upon termination:

  • Access to the Platform will be revoked
  • Pending funds may be withheld pending investigation

15. GOVERNING LAW

This Agreement shall be governed by the laws of the Republic of the Philippines.


16. AMENDMENTS

Good Job reserves the right to modify this Agreement at any time. Continued use of the Platform constitutes acceptance of any updates.
